Acceptance of Terms

Please read this Terms of Use Agreement (the "Agreement") carefully. This Agreement governs your access to and use of all websites, applications, platforms, services, and digital environments owned, operated, licensed, or otherwise controlled by Wagbit LLC ("Wagbit," "we," "us," or "our"), including but not limited to any domains, subdomains, or services under Wagbit's authority or jurisdiction (collectively, the "Services").

This Agreement constitutes a legally binding agreement between you ("User," "you," or "your") and Wagbit LLC.

Your access to or use of the Services—whether through a website, application, API, client portal, or any other interface—requires your full compliance with this Agreement and all applicable laws and regulations. By accessing, browsing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree to all terms and conditions set forth herein, you must immediately discontinue use of the Services.

Wagbit may update, modify, or revise this Agreement at any time in its sole discretion. Continued use of the Services following any such changes constitutes your acceptance of the revised Agreement.

This Agreement governs Wagbit's digital and online operations. Separate agreements, including but not limited to service agreements, statements of work, licensing agreements, or verbal agreements entered into between Wagbit and its clients or Partners, may govern specific services, deliverables, or engagements and shall take precedence where applicable.

Eligibility

You must be at least 13 years of age to access or use the Services. By using the Services, you represent and warrant that you meet this requirement.

If you are under the age of 18, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by this Agreement on your behalf.

Wagbit reserves the right to restrict or terminate access to any user at its discretion, including where age eligibility or legal capacity is in question.

Partners and Associated Parties

As used in this Agreement, the term "Partners" refers to any individual or entity that has an established relationship with Wagbit LLC through contractual, operational, or collaborative means. This includes, but is not limited to:

• Any individual, company, or organization that has entered into a written, electronic, or verbal agreement with Wagbit;
• Any party subject to a Non-Disclosure Agreement (NDA) or confidentiality obligation with Wagbit;
• Any client, customer, contractor, consultant, vendor, or service provider engaged by Wagbit;
• Any strategic partner or collaborator participating in joint development, integration, licensing, or deployment of Wagbit Services;
• Any entity granted authorized access to Wagbit platforms, systems, APIs, or infrastructure, including administrative or organizational users;
• Any person or entity acting on behalf of, or in coordination with, Wagbit in connection with its Services.

For purposes of clarity, the term "Person" includes any individual, partnership, corporation, limited liability company, trust, unincorporated organization, or any other legal or business entity.

Wagbit does not rely solely on traditional corporate "affiliate" structures. Accordingly, relationships defined under this section are based on agreement, authorization, or operational involvement, rather than ownership or control.

Wagbit reserves the right to determine, in its sole discretion, whether a relationship qualifies as a Partner or Associated Party under this Agreement.

Services

Wagbit LLC ("Wagbit") provides a range of products, services, and technical solutions through its websites, platforms, applications, and related systems (collectively, the "Services"). These may include, but are not limited to, software applications, digital platforms, consulting services, integrations, infrastructure solutions, and other technology-related offerings.

Certain Services offered by Wagbit may be subject to additional terms, conditions, or agreements ("Additional Terms"), including but not limited to service agreements, statements of work, licensing agreements, or partner-specific arrangements. You must review and agree to any applicable Additional Terms before accessing or using those specific Services.

In the event of a conflict between this Agreement and any applicable Additional Terms, the Additional Terms shall govern solely with respect to the specific Service to which they apply.

No Offer; Informational Content Only

Any descriptions, listings, discussions, or references to products or services on the Services—including but not limited to pricing, features, availability, timelines, or performance—are provided for informational and illustrative purposes only.

Such information does not constitute a binding offer, quotation, or guarantee by Wagbit.

All products and services are subject to:

• Availability
• Technical feasibility
• Geographic or operational limitations
• Final scope definition
• Formal acceptance by Wagbit
• Execution of a separate agreement, where applicable

Actual pricing, scope, and deliverables will be determined through direct engagement with Wagbit and may differ from any information displayed on the Services.

Right to Modify or Discontinue

Wagbit reserves the right, at any time and without prior notice, to:

• Modify, suspend, or discontinue any product or service
• Change pricing, features, or specifications
• Limit availability of any Service to specific users, regions, or use cases

Wagbit shall not be liable for any modification, suspension, or discontinuation of any product or service.

Amendments to the Agreement

Wagbit LLC ("Wagbit") reserves the right, in its sole discretion, to modify, update, or otherwise revise this Agreement at any time.

Any changes will become effective upon posting the updated Agreement through the Services, unless otherwise stated. The "Last Updated" date at the top of this Agreement will reflect the most recent revisions.

Wagbit may, but is not obligated to, provide notice of material changes to this Agreement through reasonable means, including but not limited to notifications within the Services, email communication, or prominent posting.

It is your responsibility to review this Agreement periodically for updates.

If you do not agree to any revised terms, you must immediately discontinue use of the Services.

By continuing to access or use the Services after any modifications become effective, you acknowledge and agree to be bound by the updated Agreement.

Privacy

Wagbit LLC ("Wagbit") may collect, use, store, and process certain information, including personally identifiable information ("Personal Information"), in connection with your access to and use of the Services.

By accessing or using the Services, you acknowledge and agree that Wagbit may collect and process information that you provide directly, as well as information generated through your use of the Services, including but not limited to usage data, system interactions, device information, and communications.

Wagbit may also receive information from third parties in connection with the Services, including but not limited to service providers, integrations, payment processors, and communication platforms.

Privacy Policy

Wagbit may maintain a separate Privacy Policy that describes its data collection, use, and handling practices in greater detail. The Privacy Policy is incorporated by reference into this Agreement.

In the event of a conflict between this Agreement and the Privacy Policy, the Privacy Policy shall govern with respect to data protection and privacy-related matters.

Use and Disclosure of Information

Wagbit may use and disclose information, including Personal Information, as reasonably necessary to:

• Provide, operate, maintain, and improve the Services
• Facilitate transactions, communications, and integrations
• Enforce this Agreement or other applicable agreements
• Detect, prevent, or address fraud, security issues, or illegal activity
• Comply with applicable laws, regulations, legal processes, or governmental requests
• Protect the rights, property, safety, and reputation of Wagbit, its users, Partners and Associated Parties, or the public

Wagbit may share information with third-party service providers and infrastructure partners that support the operation of the Services, subject to appropriate safeguards.

Monitoring and System Activity

You acknowledge that Wagbit may monitor, log, and analyze activity within the Services for purposes including security, performance, auditing, compliance, and operational integrity.

International Use

The Services are operated from the United States. If you access or use the Services from outside the United States, you acknowledge and agree that your information may be transferred to, processed, and stored in the United States or other jurisdictions where Wagbit or its service providers operate.

Wagbit LLC ("Wagbit") operates its Services from the United States. Wagbit makes no representation that the Services, or any content, materials, software, or functionality made available through the Services (collectively, "Content"), are appropriate or available for use in locations outside the United States.

Accessing or using the Services from jurisdictions where such access or use is unlawful is prohibited. If you choose to access the Services from outside the United States, you do so at your own initiative and are solely responsible for compliance with all applicable local, national, and international laws.

Export Control Compliance

The Services, including all Content and underlying technology, may be subject to United States export control and economic sanctions laws, including but not limited to regulations administered by the:

• U.S. Department of Commerce
• U.S. Department of Treasury's Office of Foreign Assets Control (OFAC)

You agree to comply with all applicable export control and sanctions laws and regulations.

Without limiting the foregoing, you represent and warrant that:

• You are not located in, organized under the laws of, or a resident of any country or territory subject to U.S. government embargoes or comprehensive sanctions;
• You are not identified on any U.S. government restricted or denied party list, including but not limited to the Specially Designated Nationals and Blocked Persons List (SDN List);
• You will not access, use, export, re-export, transfer, or make available any part of the Services or Content in violation of applicable export control or sanctions laws.

Restrictions on Use and Transfer

You may not use, export, re-export, distribute, or otherwise transfer any Content or Services except as authorized by United States law and the laws of the jurisdiction in which the Services were obtained.

You are solely responsible for compliance with all laws applicable to the import, export, or use of the Services and any associated technical data.

Content

The Services may provide access to information, data, text, audio, video, graphics, images, software, code, documentation, communications, and other materials (collectively, "Content"), including content provided by Wagbit LLC ("Wagbit") and third parties ("Third-Party Content").

Wagbit does not guarantee the accuracy, completeness, or usefulness of any Content and disclaims all liability arising from reliance on such Content.

Wagbit reserves the right, in its sole discretion and without notice, to remove, modify, restrict, or disable access to any Content for any reason, including but not limited to legal compliance, operational needs, or violation of this Agreement.

Software and Licensing

Any software, applications, tools, or downloadable materials made available through the Services ("Software") are protected by applicable intellectual property laws, including United States copyright laws and international treaty provisions.

Your use of any Software is governed by:

• This Agreement; and
• Any applicable end user license agreement ("EULA"), license terms, or service-specific agreement provided with or applicable to such Software

In the event of a conflict, the applicable Software license or EULA shall control with respect to that Software.

Unless expressly stated otherwise, Software is licensed, not sold, and Wagbit retains all rights, title, and interest in and to the Software.

Third-Party Content and Software

The Services may include or provide access to Third-Party Content, software, or services that are owned or controlled by third parties.

Wagbit does not control, endorse, or assume responsibility for any Third-Party Content or third-party software, including its:

• Accuracy
• Availability
• Security
• Functionality
• Compliance with applicable laws

Your use of any Third-Party Content or services is at your own risk and may be subject to separate terms and conditions imposed by the applicable third party.

No Warranty for Content or Downloads

All Content and Software made available through the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

Links to Third-Party Sites

The Services may contain links to websites, platforms, or resources operated by third parties ("Third-Party Sites").

Wagbit has no control over Third-Party Sites and is not responsible for their:

• Availability
• Content
• Accuracy
• Privacy practices
• Security
• Products or services

The inclusion of any link does not imply endorsement, sponsorship, or recommendation by Wagbit.

If you choose to access any Third-Party Site, you do so at your own risk.

Limitation of Liability for Third-Party Interactions

Wagbit shall not be liable, directly or indirectly, for any damage or loss arising from or related to:

• Your use of or reliance on any Third-Party Content or Third-Party Sites
• Any transactions or interactions between you and third parties
• Any failure, interruption, or issue associated with third-party systems or services

Restrictions on Use

You may access and use the Services only for lawful purposes and in accordance with this Agreement. You agree to comply with all applicable local, state, national, and international laws and regulations.

You further agree that you will not, directly or indirectly, engage in any of the following prohibited activities:

1. Malicious or Harmful Activity

• Upload, transmit, or distribute any viruses, worms, malware, Trojan horses, or other harmful or disruptive code
• Interfere with, disrupt, or damage the integrity or performance of the Services or any connected systems
• Attempt to overload, flood, or otherwise impose an unreasonable burden on Wagbit's infrastructure

2. Security Violations

• Circumvent, disable, or interfere with any security-related features of the Services
• Attempt to gain unauthorized access to any systems, accounts, networks, or data
• Probe, scan, or test the vulnerability of any Wagbit system or network without authorization
• Bypass authentication, access controls, or role-based permissions

3. Unauthorized Technical Access

• Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from any part of the Services
• Use any automated means (including bots, scripts, crawlers, or scraping tools) to access, collect, or extract data from the Services without prior written authorization
• Mirror, frame, or reproduce any portion of the Services without permission

4. Misuse of Services

• Use the Services in any manner that competes with, replicates, or attempts to exploit Wagbit's business, platform, or offerings
• Use the Services for any fraudulent, deceptive, or unlawful purpose
• Misrepresent your identity, affiliation, or authority

5. Interference with Operations

• Interfere with or disrupt servers, networks, or infrastructure connected to the Services
• Disobey or circumvent any requirements, procedures, or policies related to system use
• Attempt to manipulate, falsify, or disrupt logs, records, or system data

6. Indirect Violations

• Encourage, assist, or enable any third party to engage in any of the prohibited activities described above

Enforcement and Remedies

Wagbit reserves the right, in its sole discretion, to investigate any suspected violation of this section and to take appropriate action, including but not limited to:

• Suspending or terminating access to the Services
• Removing or restricting access to Content
• Reporting unlawful activity to appropriate authorities
• Pursuing any legal remedies available

Wagbit's determinations regarding violations will be made in good faith and based on available information.

Modification, Suspension, and Termination

Wagbit LLC ("Wagbit") reserves the right, at any time and in its sole discretion, to modify, update, suspend, interrupt, restrict, or discontinue all or any part of the Services, including any features, functionality, or Content, with or without notice.

Wagbit does not guarantee that the Services will be available at all times or without interruption, and shall not be liable for any unavailability, delay, or disruption of the Services.

Account Suspension and Termination

Wagbit may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time, with or without notice, including but not limited to circumstances where:

• You violate this Agreement or any applicable Additional Terms
• Your use of the Services poses a security risk or legal risk
• Your use negatively impacts the integrity, performance, or availability of the Services
• Wagbit is required to do so by law or regulatory obligation

Wagbit also reserves the right to terminate or restrict access for operational, business, or administrative reasons.

Effect of Termination

Upon suspension or termination of your access:

• Your right to use the Services will immediately cease
• Wagbit may disable or remove access to your account, data, or Content, subject to applicable law and contractual obligations
• Any licenses granted to you under this Agreement will terminate unless otherwise specified

Survival of Terms

Any provisions of this Agreement that by their nature should survive suspension or termination shall remain in full force and effect, including but not limited to:

• Intellectual property rights
• Disclaimers of warranties
• Limitation of liability
• Indemnification
• Payment obligations
• Governing law and dispute resolution

Limitation of Liability

Wagbit shall not be liable to you or any third party for any modification, suspension, interruption, or termination of the Services, or for the loss of access to any Content, data, or functionality.

Intellectual Property

All rights, title, and interest in and to the Services—including all Content, software, applications, code, systems, designs, graphics, interfaces, databases, architecture, and other materials (collectively, "Wagbit Materials")—are and shall remain the exclusive property of Wagbit LLC ("Wagbit"), its licensors, or its Partners and Associated Parties, and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

Nothing in this Agreement grants you any ownership rights in the Services or Wagbit Materials.

Limited License

Subject to your compliance with this Agreement, Wagbit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for their intended purpose.

Except as expressly permitted under this Agreement or applicable law, you may not:

• Copy, reproduce, distribute, or publicly display any portion of the Services or Wagbit Materials
• Modify, adapt, translate, or create derivative works
• Sell, license, lease, or otherwise commercialize any part of the Services
• Reverse engineer or attempt to extract source code (as already reinforced in Restrictions)

Proprietary Notices

You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices contained in or associated with the Services or Wagbit Materials.

Third-Party Rights

Certain components of the Services may be owned or licensed by third parties. All rights in such materials remain with their respective owners, and your use of such materials is subject to applicable third-party terms.

Feedback and Suggestions

If you provide Wagbit with any feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you agree that:

• Wagbit may use, modify, and incorporate such Feedback without restriction or obligation to you
• You grant Wagbit a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose

Testimonials and Third-Party Statements

The Services may include testimonials, reviews, case studies, comments, or other statements provided by third parties regarding Wagbit LLC ("Wagbit") or the products and services offered through the Services ("Testimonials").

All Testimonials reflect the individual experiences, opinions, or results of those third parties and are provided for informational and illustrative purposes only.

Wagbit does not represent or warrant that:

• Any Testimonial is accurate, complete, or reliable
• Any user will achieve similar results or experiences

Your experience may vary based on a variety of factors, including but not limited to use case, implementation, environment, and external conditions.

No Reliance

You agree not to rely on Testimonials as guarantees, promises, or representations of expected outcomes.

Wagbit expressly disclaims any liability arising from reliance on any Testimonial or third-party statement.

Use of Testimonials

By submitting or providing any Testimonial to Wagbit, you grant Wagbit a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such Testimonial in connection with the Services, including for marketing and promotional purposes.

Disclaimer of Warranties and Limitation of Liability

I. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, SYSTEMS, AND FUNCTIONALITY PROVIDED BY WAGBIT LLC ("WAGBIT"), ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAGBIT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

WAGBIT DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY RESULTS OR INFORMATION OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE, THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. ANY CONTENT OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA THAT RESULTS FROM SUCH USE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WAGBIT OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

II. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAGBIT, INCLUDING ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PARTNERS AND ASSOCIATED PARTIES (COLLECTIVELY, THE "WAGBIT PARTIES"), SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

SUCH DAMAGES INCLUDE, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WAGBIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS LIMITATION APPLIES TO DAMAGES RESULTING FROM, INCLUDING BUT NOT LIMITED TO, THE USE OR INABILITY TO USE THE SERVICES; THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; ERRORS OR INACCURACIES IN CONTENT OR SERVICES; STATEMENTS OR CONDUCT OF THIRD PARTIES; SYSTEM FAILURES OR INTERRUPTIONS; OR DAMAGE TO DEVICES, SYSTEMS, OR NETWORKS.

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

III. Exclusive Remedy

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICES, OR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES, IS TO DISCONTINUE USE OF THE SERVICES.

IV. Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS SET FORTH IN SECTIONS I AND II MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, WAGBIT'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

V. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS WAGBIT LLC ("WAGBIT"), INCLUDING ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PARTNERS AND ASSOCIATED PARTIES (COLLECTIVELY, THE "WAGBIT PARTIES"), FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR RELATED TO:

(i) YOUR ACCESS TO OR USE OF THE SERVICES;

(ii) YOUR VIOLATION OF THIS AGREEMENT OR ANY APPLICABLE ADDITIONAL TERMS;

(iii) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION; OR

(iv) YOUR VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING BUT NOT LIMITED TO ANY INTELLECTUAL PROPERTY, CONFIDENTIALITY, PRIVACY, OR PROPERTY RIGHT.

WAGBIT RESERVES THE RIGHT, AT YOUR EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER SUBJECT TO INDEMNIFICATION BY YOU. YOU AGREE TO COOPERATE FULLY WITH WAGBIT IN THE DEFENSE OF ANY SUCH CLAIM.

YOU MAY NOT SETTLE ANY CLAIM THAT IMPOSES LIABILITY OR OBLIGATIONS ON WAGBIT WITHOUT WAGBIT'S PRIOR WRITTEN CONSENT.

WAGBIT WILL USE REASONABLE EFFORTS TO PROVIDE NOTICE OF ANY SUCH CLAIM, ACTION, OR PROCEEDING, PROVIDED THAT ANY FAILURE TO PROVIDE TIMELY NOTICE SHALL NOT RELIEVE YOU OF YOUR INDEMNIFICATION OBLIGATIONS EXCEPT TO THE EXTENT YOU ARE MATERIALLY PREJUDICED BY SUCH FAILURE.

VI. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles.

For any claim, dispute, or proceeding arising out of or relating to this Agreement or the Services, you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located within the State of Missouri.

You hereby waive any objection to jurisdiction, venue, or inconvenient forum in such courts.

VII. General Provisions

This Agreement constitutes the entire agreement between you and Wagbit LLC ("Wagbit") concerning the Services and supersedes all prior or contemporaneous communications, agreements, or understandings, whether written, oral, or electronic, relating to the subject matter herein.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted so as to best accomplish the intent of the original provision to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

No waiver of any term or condition of this Agreement shall be deemed a continuing waiver or a waiver of any other term, and Wagbit's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or sublicense this Agreement, in whole or in part, without the prior written consent of Wagbit. Any attempted assignment in violation of this provision shall be null and void.

Wagbit may assign or transfer this Agreement without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

Attorneys' Fees

In any action or proceeding arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs, to the fullest extent permitted by applicable law.

Limitation Period

You agree that any claim or cause of action arising out of or relating to the Services or this Agreement must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred, to the fullest extent permitted by law.

VIII. Force Majeure

Wagbit shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, failures of utilities or telecommunications, internet disruptions, power outages, or failures of third-party service providers.

During the continuation of such events, Wagbit's obligations under this Agreement shall be suspended to the extent affected.

IX. Electronic Communications and Consent

By accessing or using the Services, you consent to receive electronic communications from Wagbit, including notices, disclosures, agreements, and other communications.

You agree that all agreements, notices, disclosures, and other communications that Wagbit provides electronically satisfy any legal requirement that such communications be in writing.

All Content, including but not limited to text, graphics, designs, layouts, code, mascots, characters, illustrations, branding elements, and any other original man-made artwork (collectively, "Content"), as well as the selection and arrangement thereof, is owned by or licensed to Wagbit LLC ("Wagbit") and is protected by United States and international copyright, trademark, and other intellectual property laws.
